PAGE PAGE IV 上市公司股权激励问题研究——以阿里巴巴为例 摘要 股权结构在我国还是一个比较新颖的结构方式，在资本市场的建设中还存在着很多值得探讨的问题。股权结构实施的目的是解决委托代理问题，但事实上是在结构计划制定及实施的过程中仍然受到多种因素的影响。 本文以阿里巴巴为研究对象，对其股权激励进行研究，以帮助其建立一个合理的股权结构，完善阿里巴巴公司治理结构， 本文主要的研究对象是我国阿里巴巴股权激励问题，只要目的为建立一个科学合理的股权结构，为提升企业价值奠定了有力理论基础与经验证据，最后本人有根据这些问题有针对性的提出解决优化股权结构问题的一些相应的政策建议。主要分为五个部分，第一部分为绪论，第二部分为文献综述和相关理论介绍，第三部分以阿里巴巴为例，深入分析我国阿里巴巴管理层股权激励是实施情况，第四部探索和剖析出我国阿里巴巴管理层实施股权激励面临的问题和导致因素，最后根据前面分析出的问题之所在有针对性的提出完善阿里巴巴管理层股权激励机制的对策建议。 关键词：管理层；股权结构；企业价值；股权激励 ABSTRACT The shareholding structure is a relatively novel structure in our country, and there are still many problems worthy to be explored in the construction of capital market. The purpose of the implementation of shareholding structure is to solve the problem of principal-agent, but in fact it is still influenced by many factors in the process of formulating and implementing structure plan. This paper studies the equity incentive of listed companies in China, aiming to establish an appropriate shareholding structure, thus providing theoretical basis and empirical evidence for perfecting corporate governance mechanism and improving corporate value of listed companies, and proposing corresponding policy suggestions on how to optimize the structure of equity. Mainly divided into five parts, the first part of the equity incentive and enterprise value related to the introduction of the second part of Chinas listed companies equity incentive Status Quo, the third part above Sea Tak Mei Chemical Co.， Ltd. as an example, analysis of the stock incentive of the management of listed companies in China, the fourth part analyzes the problems and causes of equity incentive in the management of listed companies in China, and finally puts forward the countermeasures and suggestions on perfecting the incentive mechanism of management of listed companies.
