摘要摘要随着国有制造型企业发展，无疑会衍生一些具有生命力的企业。这些企业的业务与母体主营业务的相关度大小不一，并且受母体战略方向、国家行业政策及整个经济发展趋势的影响。衍生企业在成长过程中受到母体“呵护”，也面临被母体“剥离”及与外部市场竞争的压力。那么衍生企业在这样的背景下其技术和市场是如何发展，技术能力与市场能力的演化路径及二者的关系有什么样的特征。本文基于技术与市场视角，以研究衍生企业独立过程中能力发展路径为目的，选择东方电气集团东方汽轮机有限公司下属的四家衍生企业为研究对象，运用多案例研究的方法，分析了各衍生企业在发展过程中技术能力与市场能力的演化路径。旨在分析我国处于大型国有企业背景下的衍生企业技术与市场能力发展的阶段、各阶段中二者跟资源依赖的关系、以及二者的互动与独立程度的关系。本文首先回顾了企业的技术能力、市场能力、企业衍生的相关研究文献，并对本研究涉及到的衍生企业概念作了界定。其次给出了本文的主要理论基础以及分析框架，即资源依赖理论、技术与市场协调理论和衍生企业发展阶段模型。第三，案例研究过程的设计，确定选择研究的对象、数量、以及数据收集方法和分析方法。再者，运用图表对照方法，对四家衍生企业进行了多案例分析、讨论并得出结论：1）衍生企业资源依赖难度不同，技术与市呈现非同步发展现象；2）随着衍生企业独立性也越来越高，其技术与市场的关系越趋于协同，对外部资源的获取与利用能力越强；3）技术与市场呈现协同发展是衍生企业独立发展的必然趋势。最后，提出的本研究的理论和实践意义及研究不足和未来的研究方向。本研究的理论意义在于，基于资源依赖理论、企业衍生理论、技术与市场协调理论，探讨了衍生独立过程中技术能力与市场能力演化路径、技术与市场的交互跟衍生企业的独立性之间的关系。在实践方面，指出我国大型国有衍生企业能力差异在于重视母体资源利用，而忽视了外部资源的获取与利用。关键词：衍生企业技术能力市场能力案例研究能力演化路径IABSTRACTWiththedevelopmentofstateownershipmodellingenterprise,willnodoubtbederivedsomevitalenterprises.Thespin-offintheprocessofgrowthmaybegetthemother’scare,alsomayfacethematrixstrippingandexternalmarketcompetitionpressure.Sohowdoesthespinoff’stechnologyandmarketdevelop,whattheevolutionpath,andwhatkindofcharacteristicsbetweenthetwo.Basedonthetechnologyandmarketperspectivetostudyspinoffindependentability,fourspin-offs,subordinateDongfangTurbineCo.Ltd.,werebechoseastheresearchobjectforthecasestudy.Toanalyzetheirtechnicalandmarketabilityintheprocessofdevelopmentofpath,itaimstocomprehendthespin-offwiththebackgroundoflargestate-ownedenterprisesinourcountry,technologyandmarketcompetencedevelopment,andeachstageoftherelationshipwithresourcedependence.Thisarticlefirstreviewedtheliteratureaboutthetechnicalability,marketingability,andspin-offtheory.Secondisgiventhemaintheoreticalbasisandanalysisframework.Third,itisshowingthedesignofthecasestudyprocess.Furthermore,usingthechartcontrastmethod,discussionandconclusions:1)dependingonthedifficultyresource,thedevelopmentpathoftechnologyandmarketingpresentstheasynchronousphenomenon;2)withtheincreaseofthedegreeofindependence,th
