Effective corporate governance ensure the normal operation of the company, good social responsibility performance can help companies gain lasting competitive, and improving the corporate governance structure can encourage enterprises to fulfill their social responsibilities better and better. Therefore, it has important theoretical and practical significance on study and revealing the corporate governance impact on corporate social responsibility. Effective corporate governance requires the participation of stakeholders, good social performance will protect the interests of stakeholders. Therefore, In this Paper, the stakeholder theory is introduced to become the bridge between corporate governance and CSR. It is worth mentioning that, although the corporate social responsibility and stakeholder are not exactly the same concept, still the content is very similar between the two concerned. They are not confined to traditional corporate values, but also consider the relationship between corporate and other groups. This article consists of three parts: Firstly, review and summarize the relevant literature and theory of the existing domestic and international corporate governance and corporate social responsibility. Secondly, the design of an empirical study, measurement of the contribution rate from the various stakeholders, then the corresponding weight is given to the Stakeholders, weight and sum to yield a comprehensive index of corporate social responsibility. Finally, empirical studies on the correlation between corporate governance and corporate social responsibility using statistical software SPSS17.0.
