Introduction

2.2PartyAagreestoprovidePartyBwiththenecessarysupportandcooperationtoenablePartyBtoperformitsservicesunderthisagreement.

2.3PartyBagreestoperformitsservicesunderthisagreementinaprofessionalandtimelymanner.

3.ContractTermination

3.1EitherPartymayterminatethisagreementbygiving(NoticePeriod)daysnoticetotheotherParty.

3.2IfeitherPartyterminatesthisagreement,theterminatingPartyshallberesponsibleforpayinganyoutstandingfeesorchargesdueunderthisagreement.

4.DisputeResolution

4.1AnydisputearisingoutoforinconnectionwiththisagreementshallbesettledbynegotiationbetweentheParties.

4.2Ifthedisputecannotbesettledbynegotiation,itshallbereferredtoarbitrationinaccordancewiththe(ArbitrationRules).

5.GeneralProvisions

5.1Thisagreementshallbegovernedbyandconstruedinaccordancewiththelawsof(Jurisdiction).
