mparisonandanalysis,thispaperdrawsaconclusiontherearedifferencesfortheprotectionmechanismofcreditor’sinterestsbetweentheparent-subsidiarycompanyandoneperson-company.Mainlyfromtheperspectiveofstudypathofcomparisonmethod,ChapterⅡinvestigatesthetheoryandjudicialpracticerelevantcreditorprotectionofcommonlawcountriesandcivillawcountries，demonstratesmacroeconomicresearchonthetheoryandjudicialpracticerelevantcreditorprotection.Finally，Basedonthecharacteristicsofthewhollyownedsubsidiarycompany,thispapercommentsonandanalyzestraditionaltheoryofcreditorprotection.Fromtheprobingintothespecialproblemsofcreditorprotectioncausedbyuniquenessofinternallegalpersonandcompletecontrolofexternalparentcompanyofwhollyownedsubsidiarycompany,ChapterⅢconcludesthereareobviousdefectsanddeficienciesinthetraditionalmeansofprotectionandresearchforcreditorsofwhollyownedsubsidiarycompany,pointsoutthenecessityfortheconstructionofcoordinatingmechanismtoprotecttheinterestsofcreditorsofwhollyownedsubsidiarycompany.ChapterⅣspecificallydiscussestheconstructionofcoordinatingmechanismfortheprotectionoftheinterestsofcreditorsofwhollyownedsubsidiarycompany.Throughestablishingthechecksandbalancesofcorporategovernance,strengtheningthecompany’scapitalsystemandtheapplicationoftheinformationdisclosuresystem,wecanprovidespositiveguaranteemechanismfortheprotectionoftheinterestsofcreditorsofwhollyownedsubsidiarycompanyinternal;Meanwhile,bypiercingthecorporateveilprincipleandtheconcreteapplicationoftheprincipleof“deepstone”,wecanprovidesexternalreliefprotectionfortheinterestsofcreditorsofwhollyownedsubsidiarycompany,soastoachievethecoordinationofinternalandexternalandpreventionbeforehandandreliefafterwards.Subsequently,thispaperputsforwardbasicmeasurestoimprovetheprotectionofcreditor’sinterestsofwhollyownedsubsidiarycompanyofChina.Keywords:whollyownedsubsidiarycompany；one-mancompany；parent-subsidiarycompany；piercingthecorporateveil引言公司独立人格和股东有限责任是公司制度的基石，而社会经济的变革与发展，特别是全球化的推进对公司法律制度提出了新的要求，公司制度赖以存在的基本原则受到极大挑战，全资子公司的出现
