毕业论文 （20_ _届） 浙江企业跨国并购研究 摘 要 随着全球经济一体化的发展，国际直接投资已经部分取代国际贸易而成为推动世界经济发展的主要动力，跨国并购也已成为跨国公司实施其国际化战略的主要手段。目前我国企业跨国并购日益活跃，但是在跨国并购的过程中的风险也日益凸显，我国企业跨国并购面临的主要风险有以下五种:政治风险、法律风险、并购决策风险、财务风险以及并购整合风险。 本文鉴于对浙江企业跨国并购问题的思考，并且结合我国浙江企业跨国并购的案例进行了分析，首先，探讨了跨国并购的理论基础和评价方法，然后对浙江企业跨国并购的优势和劣势进行了分析，指出了浙江企业跨国并购的成效，在此基础之上，对完善浙江企业跨国并购的对策提出较有现实可行性的策略和建议，为浙江企业理清经营思路和发展方向。 关键词：Abstract With the global economic integration, foreign direct investment has been partially replaced by international trade to promote world economic development as the main driving force, cross-border mergers and acquisitions have also become transnational corporations to implement its international strategy of the principal means. At present, China has become increasingly active M A business, but in the process of cross-border M A risk is increasingly prominent, cross-border mergers and acquisitions of enterprises the main risks facing the following five categories: political risk, legal risk, M A decision-making risk, financial risk, and merger integration risk . This view of the enterprises in Zhejiang Issues of cross-border mergers and acquisitions, with a case study about cross-border mergers and acquisitions of Zhejiang enterprises, first discussed the theoretical basis of cross-border M A and evaluation methods, and then cross-border mergers and acquisitions of enterprises in Zhejiang were analyzed strengths and weaknesses, and points out the effectiveness of transnational mergers and acquisitions of enterprises in Zhejiang, on this basis, to improve more realistic feasibility strategies and recommendations for Zhejiang enterprises, in order to clear business ideas and future directions.
