2025SupplyContract(Sino-EnglishVersion)

Parties

ThisSupplyContract(theContract)isenteredintoasofDate(theEffectiveDate),byandbetween:

NameofSupplier,acompanyincorporatedunderthelawsofCountry,withitsprincipalplaceofbusinessatAddress(hereinafterreferredtoastheSupplier).

NameofRecipient,acompanyincorporatedunderthelawsofCountry,withitsprincipalplaceofbusinessatAddress(hereinafterreferredtoastheRecipient).

TheSupplierandtheRecipientmaybereferredtoindividuallyasaPartyorcollectivelyastheParties.

Recitals

WHEREAS,theSupplierisengagedinthebusinessofmanufacturing,producing,andsupplyinggoods(theGoods)tovariousclients;

ANDWHEREAS,theRecipientdesirestoprocuretheGoodsfromtheSupplierunderthetermsandconditionssetforthherein;

NOW,THEREFORE,inconsiderationofthemutualcovenantscontainedherein,thePartiesheretoagreeasfollows:

1.GoodsandQuantities

TheSuppliershallsupplytotheRecipientthefollowingGoods:

TheexactdetailsoftheGoodsandtheirdescriptionsshallbeasagreeduponinwritingbytheParties,includingbutnotlimitedtopurchaseorders,invoices,andotherwrittencommunications(thePurchaseDocuments).

2.TermandDuration

ThisContractshallcommenceontheEffectiveDateandcontinueforaperiodofNumberyears(theTerm).UnlessotherwiseagreedinwritingbytheParties,thisContractshallautomaticallyrenewforadditionalperiodsofNumberyearseach,providedthatnoEventofDefault(asdefinedherein)hasoccurredandiscontinuing.EitherPartymayterminatethisContractbyprovidingwrittennoticeofterminationatleastNumberdayspriortotheexpirationofthecurrentTerm.

3.PriceandPaymentTerms

3.1ThepricefortheGoods(thePrice)shallbeasspecifiedinthePurchaseDocuments.
