英文销售合同
ContractofSale
ThisContractismadeon[Date]byandbetween[NameofSeller],hereinaftercalledthe“Seller”,and[NameofBuyer],hereinaftercalledthe“Buyer”.
1.DescriptionoftheGoods
TheSelleragreestosellandtheBuyeragreestopurchasethefollowinggoods:[Descriptionofthegoods,includingname,quantity,andspecifications].
2.PriceandPayment
TheSellershallsellthegoodstotheBuyeratthepriceof[Price]andtheBuyershallpaytheSellerthesame.Thepaymentshallbemadeby[Methodofpayment]on[Dateofpayment].
3.DeliveryandShipment
TheSellershalldeliverthegoodstotheBuyerattheplacedesignatedbytheBuyer,andtheBuyershallbearalltransportationcosts.Thedeliveryshallbemadeon[Dateofdelivery].
4.QualityandInspection
TheSellerguaranteesthatthegoodsareofgoodqualityandaresuitablefortheirintendeduse.TheBuyershallinspectthegoodsuponreceiptandshallnotifytheSellerofanydefectswithinareasonabletime.
5.Warrantyand售后服务的承诺
TheSellerwarrantsthatthegoodswillbefreefromdefectsinmaterialandworkmanshipforaperiodof[WarrantyPeriod]fromthedateofdelivery.Incaseofanysuchdefects,theSellershall,atitsoption,eitherrepairorreplacethedefectivegoodsorrefundthepurchasepricetotheBuyer.
6.ForceMajeure
IfeitherpartyispreventedfromperformingitsobligationsunderthisContractduetoforcemajeure,suchasnaturaldisasters,fires,floods,wars,riots,orgovernmentregulations,theaffectedpartyshallnotifytheotherpartyimmediatelyandshalluseitsbesteffortstoperformitsobligationsassoonaspossible.
7.TerminationofContract
ThisContractmaybeterminatedbyeitherpartyatanytimepriortoperformancebygivingwrittennoticetotheotherparty.Incaseoftermination,theSellershallrefundtotheBuyeranyamounts
