SETTLEMENT AGREEMENT AND GENERAL RELEASE This Agreement is made and entered into by and between the FLORIDA KEYS MOSQUITO CONTROL DISTRICT, its parent corporation, affiliates, subsidiaries, insurers, attorneys, divisions, successors and assigns and the employees, officers, directors and agents thereof (hereinafter the“DISTRICT ”,)and MICHAEL SPOTO, his agents, heirs, executors, administrators, successors and assigns and anyone who may claim by and through him (hereinafter SPO“TO”,)who agree as follows: Definitions For purposes of this Agreement, the following Definitions will apply: Effective Date. The “ EffectiveDate ”o f this Agreement is the eight (8th) calendar day after SPOTO’ sexecution of this Agreement, as set forth in paragraph 4 below, provided SPOTO does not exercise his right to revoke as set forth within that paragraph. Administrative Proceeding. An “ Administrative Proceeding ”in cludes any charge, complaint, appeal or other action instituted with a federal, state or local governmental agency or adjudicative body, including the Monroe County Career Service Council( “CSC”.) Consideration . In consideration for signing this Agreement and General Release and compliance with the promises made herein, the DISTRICT agrees to pay SPOTO the total sum of THIRTY-FIVE THOUSAND DOLLARS AND ZERO CENTS ($35,000.00), as set forth below, in full and final settlement and resolution of all claims SPOTO has, had, or may have against the DISTRICT. The fully executed General Release shall be held in trust by Lydecker | Diaz until the expiration of the revocation period mentioned in paragraph 4. A 1099 will be issued to SPOTO. Both the DISTRICT and SPOTO mutually agree to be fully responsible for their own attorneys fees and costs charged by their respective attorneys in connection with all portions of this matter including the negotiation and formulation of this Agreement.
