1 1 2 2 Abstract There are all sorts of problems in the company annual inspection work of the administration for industry and commerce at present. The Corporate Annual Inspection approach in 2006 located company annual inspection as a regulatory system，The ministry of commerce and industry checks companies regularly according to the annual inspection materials which were submitted by companies, but at present the registration authority objectively only can inspect the material formally but cannot regulate all these companies’ behaviors legally or not During the period of yearly check. And now the laws not allow all the informations about company annual return to be opened，people cannot research these informations easily which is not good for transaction safety and efficiency .The ideal and simple of publishments cause the waste of social and administrative resource. the company of suspended license can not recover conditional license quickly because of no rapid relief mechanism. All these problems need the company annual inspection to be reformed. First, the functions of annual inspection should be redefined, the annual inspection of the companys main role is not to control, but rather to provide the public information of a lot of companies which achieve transaction security and efficiency,according to this reason, current annual inspection system should be changed to annual report system,the Administration for Industry and Commerce is only responsible for the collection but not for review. Second, legislation should specify the annual report disclosure, to achieve resource sharing. The third, By advocating the companys social responsibility, through perfecting the related credit system, through the establishment of filing a false report material behavior of civil, administrative and criminal responsibility system to ensure that the submitted information as real as possible .The fourth, redesigning punishment measures and procedures of the overdue report
