AbstractSincetheagreementoninvestmentofCAFTAtakingeffectin15August2009,thedisputebetweenanaturalpersonandanationhassteppedintoCAFTAforthefirsttime.Theinvestorfromanationcanaskforcompensationfromthehostnationdirectlythroughapplyinginternationalarbitration,whichwillbeagreatthreatandchallengetotheeconomicsovereigntyofthehostnation.However,suchaseeminglydangerousandillegitimateinvestmentarbitrationmechanismhasimplementedfornearly20yearsinNAFTA.Thetrendofregionalinvestmentliberalizationcannotbestopped,therefore,themechanismofregionalinvestmentdisputearbitrationwillmoveforwardcontinuouslyinsteadofbeingabandoned.Sohowtomaintainthebalancebetweenprotectingtheinterestsoftheinvestortopromoteregionalinvestmentandavoidingexcessiveprosecutiontoprotectthesovereigntywillbeanimportantguaranteeofachievingtheregionalinvestmentagreement’sgoal.Theessaytriestoproceedwithspecificlegalproblems,findthefactorsthatwouldbreakthebalancenext,anddrawonthegoodorbadexperienceofNAFTA’sArticle11.FinallysomeadvicetoimprovetheinvestmentarbitrationrulesofCAFTAwillbewritten.Theessayhasmorethan30,000wordsanddividedintofourpartsexcepttheintroduction.Thefirstpartmentionsthejurisdictionofinvestmentdisputearbitration.Andtheissuecontainsthreeessentialfactors.Reflectingasthesubject—toconfirmthenationalityoftheinvestor;theobject—therangeofinvestandmeasureswhichbringaboutthedispute;thesubjective—theapprovalonthearbitration.ThensomeadvicesuchascontinuousnationalityprincipleshouldbestrictlyusedinCAFTA,therangeofinvestmentshouldbeshrunk,remove“ofgeneralapplication”before“measures”anddrawontheexperienceof“waiverclause”wouldbegiven.Thesecondpartinvolvestheapplicablelaw.ByanalyzingthelawapplicationrulesofNAFTAandChina—ASEANcountriesBITs,thewriterwillputforwardasuggestiontoformulateanintegrativelawapplicationrule.Thethirdpartmentionstheprocedureofinvestmentarbitrationanditstransparency.InthissectiontoimprovetheprocedurerulesofCAFTAwillbewrittenfirst.ThenthewriterwillanalyzetheneedoftransparencyinRTA’sinvestmentarbitrati
