Party A and Party B (the “Parties”) have agreed to enter into this Agreement in order to set out the terms and the conditions subject to which Party A will from time to time assign its rights to receive repayment of principal amounts advanced under the loan contracts (the details of loan contracts to be assigned will be listed in a Assignment Application in form and substance of Attachment 1 to this Agreement signed and delivered by Party A (the “Assignment Application”) ) entered into between Party A and certain dealers (the “Loan Contracts”). B. This Agreement is governed by the laws and regulations of the People’s Republic of China. It is also accepted by Party A and Party B after negotiation. Chapter 1 Transfer - Buyback Asset’s Scope Article 1 Party A agrees to assign and transfer to Party B its rights to receive repayment of principal amounts advanced under the Loan Contracts listed in the Assignment Application (“Credit Assets”) subject to the terms and conditions set out in this Agreement and the Assignment Application. Party A shall procure relevant dealer to sign and confirm the assignment notice in form and substance of Attachment 2 of this Agreement (“Assignment Notice”) and provide Party B an original copy of such signed Assignment Notice for preservation.
