Chapter 6 Contracting 6.1 Background Information The products to be traded in the international market cover wide range from tangible goods to intangible goods as services and intellectual properties. As the categories of products and purpose of trade differ from each other, there are many kinds of international trade contracts. The usual forms of contracts are for international trade in goods, ex-import of equipments, exclusive sales, agency appointment, consignment sales, contract project, delivery of services, franchising, technology transfer, technology consultancy, use of technology, patent license, export or import of intellectual property, financial lease, carrier rent, cargo transport insurance, etc. Although the products and terms of trade are different, the basic rules for signing a contract are generally set forth in international trade practice. In deciding a contract, the quantity and description of goods, the price, the terms of payment, the packing, the time of delivery, the port of destination and other necessary particulars should be stipulated as clearly as possible, with close attention to the variety of risks that are present. 6.2 Situational Conversation Section 1: Alter the Main Items of the Contract L = Lee; S = Smith S: I made a very close study of the draft contract last night. L: Any questions? S: Yes. There are a few points which I’d like to bring up. The first one is the packing. It’s stipulated in the contract that all the machine parts should be packed in wooden cases. This can be done with the machine parts, but it’s impossible to pack a truck base like that. L: I see. S: The second one is about the terms of payment. Your draft contact says that payment is to be made by D/P. This is not our practice. We prefer to have the payment made by L/C through a negotiation bank in American. L: And… S: And the third point is about arbitration. It’s stipulated that arbitration shall take place in China. In all our past contracts signed wit
