ThisAgreementismadeandenteredintoasof[InsertDate],byandbetween[InvestorsFullLegalName],havingitsprincipalplaceofbusinessat[InvestorsAddress](Investor),and[TargetCompanysFullLegalName],a[InsertJurisdiction]corporationorganizedandexistingunderthelawsof[InsertJurisdiction]withitsprincipalplaceofbusinessat[TargetCompanysAddress]anditsregisteredofficeat[TargetCompanysRegisteredOfficeAddress](TargetCompanyorCompany),or[TransferrersFullLegalName],havingitsprincipalplaceofbusinessat[TransferrersAddress](Transferrer),asthetransferringpartyrepresentingtheexistingshareholdersofTargetCompanytransferringtheShares(asdefinedbelow)toInvestor.

Recitals

WHEREAS,theInvestordesirestoacquiretheSharesfromTransferrer,andtheTransferrerdesirestosellandassigntheSharestotheInvestor;

WHEREAS,thepartiesheretohaveenteredintonegotiationsconcerningtheacquisitionoftheSharesbytheInvestorandthesaleandassignmentofsuchSharesbytheTransferrertotheInvestor;

NOW,THEREFORE,inconsiderationofthemutualcovenantsandagreementscontainedhereinandforothergoodandvaluableconsideration,thereceiptandsufficiencyofwhichareherebyacknowledged,thepartiesheretoagreeasfollows:

1.Definitions

ForpurposesofthisAgreement,thefollowingtermsshallhavethemeaningsascribedtothemhereinafter:

a)AgreementmeansthisInvestmentAgreement,includingallexhibitsandattachmentshereto;

b)Sharesmeans[SpecifyNumber]sharesof[SpecifyClass,e.g.,Common]Stock,parvalue[SpecifyParValue]pershare,inthecapitalstockofTargetCompany,beingthesamesharesrepresentedby[SpecifyDocument,e.g.,ShareCertificates]identifiedas[SpecifyIdentificationNumber(s)],moreparticularlydescribedinExhibitAattachedhereto(theTransferDocuments);

c)PurchasePricemeans[SpecifyAmountinWordsandNumbers](thePurcha
