第1篇

ThisServiceFeeAgreement(theAgreement)ismadeandenteredintoasof[Date],byandbetween[NameofServiceProvider],a[LegalEntityType](theServiceProvider),and[NameofClient],a[LegalEntityType](theClient).

WHEREAS,theServiceProviderprovidescertainservices(theServices)totheClient,andtheClientdesirestoengagetheServiceProvidertoperformsuchServices;and

WHEREAS,theClientagreestopaytheServiceProvideraservicefee(theServiceFee)fortheprovisionoftheServices;and

WHEREAS,thepartieswishtosetforththetermsandconditionsoftheprovisionoftheServicesandthepaymentoftheServiceFee.

NOW,THEREFORE,inconsiderationofthemutualcovenantsandpromiseshereincontained,thepartiesagreeasfollows:

1.ScopeofServices

TheServiceProvideragreestoprovidetheServicestotheClientasdescribedintheattachedServiceDescription(theServiceDescription).TheServicesmayinclude,butarenotlimitedto,thefollowing:

TheServiceProvidershallusereasonableskillandcareintheperformanceoftheServices.

2.ServiceFee

TheClientagreestopaytheServiceProvideraServiceFeefortheprovisionoftheServices.TheServiceFeeshallbeasfollows:

TheServiceFeeshallbeinvoicedmonthly,quarterly,orannually,asspecifiedintheServiceDescription.Allinvoicesshallbedueandpayablewithin[NumberofDays]daysfromthedateoftheinvoice.

3.PaymentTerms

-Allpaymentsshallbemadein[Currency]andshallbemadeby[PaymentMethod(e.g.,check,wiretransfer,creditcard,etc.)].

-TheClientagreestoprovidetheServiceProviderwithanynecessaryinformationtofacilitatepaymentprocessing.

-IftheClientfailstomakeanypaymentwhendue,theServiceProvidermaychargetheClientalatefeeof[Percentage]oftheunpaidamountforeachmonthorpart
