ServiceAgreement

TheServiceAgreement(hereinafterreferredtoastheAgreement)wassignedbyandbetweenthefollowingpartiesinBeijingon[April][24],[2018]:

SmithsMedical*(hereinafterreferredtoasSmith),acompanyregisteredandexistingunderthelawsoftheUnitedStates,withitsregisteredaddressat6000NathanLaneNorthPlymouth,Minnesota55442USA

and

BeijingBIORAYMedicalTech.Co.,Ltd.(hereinafterreferredtoastheServiceParty),aCE-ClinicalAssessmentserviceproviderregisteredandexistingunderthelawsofthePRC,withitsregisteredaddressatRoom901,Building1,No.2RonghuaSouthRoad,BeijingEconomic-TechnologicalDevelopmentArea(BDA),Beijing.

Whereas,SmithexpectstoobtainandtheServicePartyagreestoprovideSmithwith[CEClinicalAssessment]servicesrelatedto[MedicalDeviceProducts:GrasebyTM1200InfusionPump]inaccordancewiththefollowingtermsandconditionsofthisAgreement.

Throughequalconsultation,thetwopartiesheretohavereachedthefollowingagreementontheprovisionof[CEClinicalAssessment]services:

DuringthetermofthisAgreement,uponSmithscommission,theServicePartyshallprovideSmithwithactiveproduct-related[CEClinicalAssessment]servicestoassistSmith[passtheverificationoftheTUV].

AccordingtotherequirementsofMEDDEV2.7.1V4,thesearchforclinicalliteratureshallbecompletedandtheclinicalassessmentdocumentsshallbeupdated;

Confidentiality,IntellectualPropertyRightsandNon-competition

TheServicePartyshallabidebytheprovisionsonconfidentiality,intellectualpropertyrightsandnon-competitionofbothparties.Thespecificagreementisasfollows:

Bothpartiesacknowledgethat,inordertofacilitatetheServicePartytoprovide[CEClinicalAssessment]services,allinformationprovidedordisclosedbySmithtotheServiceParty(suchdisclosuresmaybemadeinwriting
