CONTRACT

ThisContractismadeon[Date],between[CompanyAName],whoseregisteredofficeisat[CompanyAAddress],and[CompanyBName],whoseregisteredofficeisat[CompanyBAddress],concerningthemattersasfollows:

1.ContractingParties

ThecontractingpartiesherebyagreeduponthetermsandconditionsstatedbelowforthesaleandpurchaseoftheProductbyCompanyAtoCompanyB.

2.ProductDescription

TheproducttobesoldunderthisContractshallbe[ProductDescription].Detailsoftheproductincludingspecifications,quality,quantity,etc.,areattachedasAnnexI.

3.PriceandPayment

3.1ThepriceoftheProductshallbefixedat[Price].ThetotalcontractvalueshallbepaidinfullbyCompanyBtoCompanyAinaccordancewiththetermsspecifiedinthisContract.

3.2PaymentshallbemadethroughbanktransfertotheaccountdesignatedbyCompanyA.ThedetailsofpaymentscheduleareattachedasAnnexII.

4.DeliveryandShipping

4.1DeliveryoftheProductshallbemadeat[DeliveryPoint]withintheagreedtimeframespecifiedinthisContract.

4.2Shippingdocuments,includingpackinglist,invoice,andcertificateoforigin,shallbeprovidedbyCompanyAtoCompanyBpriortoshipment.

5.QualityAssuranceandInspection

5.1CompanyAshallensurethattheProductconformstothespecificationsstatedinAnnexI.

5.2Uponarrival,CompanyBshallhavetherighttoinspecttheProductforconformitywiththecontractspecifications.AnydiscrepanciesshallbereportedtoCompanyAimmediately.

6.ForceMajeure

Incaseofforcemajeureeventssuchasnaturaldisasters,war,riots,etc.,whichhindertheperformanceofthisContract,theaffectedpartyshallnotifytheotherpartyimmediatelyandprovidenecessaryevidence.TheaffectedpartyshallendeavortoovercomesuchobstaclesandperformitsobligationsunderthisContractass
