PAGE PAGE 1 香港离岸银团贷款的法律问题研究 摘 要 离岸金融从20世纪60年代产生至今，已成为国际金融的重要组成部分。作为国际资金流动的重要渠道，离岸银团贷款是离岸贷款的最主要形式。从全球范围来看，香港是国际著名的离岸银团贷款中心，然而，我国对离岸银团贷款法律问题的研究目前尚处于起步阶段，对香港离岸银团贷款法律问题的研究尚付阙如，这对于我国吸取香港的成功经验、建立健全相关的法律制度是十分不利的。因此，笔者选取香港离岸银团贷款的法律问题进行研究以期弥补这一空白。本文共分五章，第一章主要讨论香港离岸银团贷款的概况、离岸银团贷款的运行机制、本研究的意义和创新之处等问题；第二章主要讨论香港离岸银团贷款的内部法律关系，包括离岸银团的组成、牵头行与离岸银团成员的法律关系、代理行与离岸银团成员的法律关系等问题；第三章讨论香港离岸银团贷款协议的主要内容，包括先决条件条款、陈述与保证条款、约定及其他事项条款；第四章讨论香港离岸银团贷款的法律适用，包括离岸银团与借款人之间的法律适用和离岸银团成员间的法律适用；第五章讨论香港对离岸银团贷款的监管以及对中国开展离岸银团贷款的启示。 关键词：离岸银团贷款；牵头行；代理行；法律适用；监管 Abstract Offshore finance has been an important part of the international finance since 1960s. As an important way of the international capital flowing, the offshore syndicated loan is the most important form of offshore loans. As we all know, Hong Kong is a very famous center of the offshore syndicated loan all over the world. However, the research on the legal aspects of offshore syndicated loan in China is still in the initial stage, and there is no research on the legal aspects of offshore syndicated loan of Hong Kong, which is not good for carrying out the successful experience of Hong Kong in China and establishing the relevant legal systems. Therefore, this research selected the subject of the legal aspects of offshore syndicated loan of Hong Kong in order to fill this blank. This research is composed of five chapters. Chapter 1, as an introduction, explains the overview and the operational mechanism of the offshore syndicated loan of Hong Kong, and the significance and innovations of the research. Chapter 2 answers the issues of the composition of offshore syndication, the legal relationship between the lead manager and the other members, and between the agent bank and the other members. Chapter 3 analyses the main contents of the agreement of the offshore syndicated loan of Hong Kong, including the conditions precedent clause, the represents and warranties clause, and the covenants clause and so on.
