摘 摘 要 中国农业银行于2010年7月15日和16日正式在上海和香港两地上市，至此j中 国国有控股商业银行全部实现上市，中国金融改革揭开了崭新的一页。但由中国农业银 行上市引发的各界专家学者对国有控股商业银行公司治理问题的探讨，不得不引发我们 的深刻思考。纵观我国银行业二十多年的改革历程，我们不难发现“公司治理始终是 改革的主旋律。公司治理的好坏成为衡量银行竞争力的重要标准。在当前全球金融危机 的阴影尚未退却，各国经济复苏遥遥无期的情况下，如何在总结他国经验教训的基础上， 在短时间内进一步强化国有控股商业银行的公司治理，建立与国外先进银行相竞争的公 司治理结构，成为我国银行业面临的重大问题。 本文以国有控股商业银行为研究对象，对公司治理、公司治理机制和公司治理结构 的内涵，以及公司治理的基本理论进行了论述，在对我国国有控股商业银行公司治理的 特殊性进行分析的基础上，通过与国外先进银行公司治理的比较，对我国国有控股商业 银行公司治理存在的问题进行了总结，最后就股权结构、内部治理结构、激励约束机制、 外部治理环境等方面存在的问题，提出了完善国有控股商业银行公司治理的一些法律建 议，以此抛砖引玉。 关键词：国有控股商业银行，公司治理，完善 J Study Study on Legal Issues of Corporate Governance of State．．controlled Com mercial Banks Abstract On July 1 5，20 1 0 and 1 6，Agricultural Bank of China officially listed on both Shanghai and Hong Kong，now，Chinas state-controlled commercial banks have achieved full listing， China’S financial reform has opened a new chapter．However，China experts and scholars from all walks discuss that the corporate governance about state-controlled commercial banks have caused US deep thinking．Throughout twenty years reform of Chinas banking，we find that”corporate governance”has always been the main theme of the reform．The quality of corporate governance become an important standards to measure a bank’S competitiveness． The shadow of the current global financial crisis has not subsided，the economic recovery in the foreseeable future．How can we strengthen corporate governance of state·controlled commercial banks in the short time，establish advanced corporate governance structure competing wim foreign country?This is a major problem facing Chinas banking industry． The research object of this article is state—controlled commercial banks．This article discusses the content of corporate govemance，corporate governance and corporate governance structure，as well as the basic theory of corporate governance．On the basis of special analysis of corporate governance about the state—controlled commercial bank，and through the comparison of advanced corporate governance about fo
