PAGE \* MERGEFORMAT1 叶予舜 二〇一四年十月八日星期三 酒店管理合同 国际酒店品牌谈判：意项书的签定 国际酒店品牌在与业主进行实质性的接触前一般都会做好尽职调查，尽职调查完成后，如果国际品牌继续和业主接触，接下来就要与业主谈实质性内容了。意项书的内容通俗点，就是国际品牌与业主的一次利益摊牌，言外之意就是，如果你要和我合作，就要答应我的以下条件。业主在与国际酒店品牌谈判过程当中，由于不熟悉国际酒店品牌的运做，一般都很被动。 The principles expressed in this MOU will serve as a basis for ******’s affiliate, ****** Asia Pacific Hotel Management Pty. Limited (“******”)and Owner to negotiate a Hotel Development Services Agreement (“******”) and a Hotel Management Agreement (“HMA”). Under those agreements, ****** will assist Owner in the design and construction of the Hotel, handle certain pre-opening and opening activities and direct and supervise the operation of the Hotel after it is completed. Upon completion of the negotiations, Owner and ****** will submit the ****** and the HMA to the required persons within each of their respective organizations for approval and execution. The Hotel will operate under the ****** ******” brand (“Brand”). 本意向书中表达的原则将作为******的子公司，******亚太酒店管理有限公司(“******”)和业主谈判酒店开发服务协议(“******”)和酒店管理协议(“HMA”)的基础。根据这些协议，******将在酒店的设计和建筑阶段为业主提供协助，在酒店开业前和开业时负责安排某些相应的活动并在酒店建成后指导和监督酒店的运营。在谈判结束后，业主和******将把******和HMA上交给各自公司中指定的人员审批并签署这两个协议。酒店将以“******”为品牌来经营。 THEPROJECT 本项目 Location位置: General Description总体描述: The project is a mixed-use development with a gross floor area of about 350,000 square meters and includes commercial facilities, private apartments(collectively, “Non-Hotel Facilities”) and the Hotel. 项目为一个总建筑面积约35万平方米的综合开发项目，其中包括商业设施、私人公寓（通称“非酒店设施”）和酒店。 The Hotel has a total GFA of not less than 45,000square meters including 35,000 square meters above ground and 10,000 square meters basement, and will have at least 300 guest rooms. The guest rooms comprise 280standard rooms (at least 40 m2 net each) and 20 suites (at least800 m2 net each) of different types and room sizes as determined in accordance with Brand standards. 酒店总建筑面积不少于45,000平方米，其中地上35,000平方米, 地下10,000 平方米, 共有至少300间客房, 其中包括280标准间（各净面积不低于40平方米）和20间依照品牌标准所决定的不同类型和面积的套房（各净面积不低于80平方米）。
