Abstract With the development and perfection of the social marketing economic system, our country gradually realized the legal regulation of the enterprise which as a unit of contemporary organizations, in the process of exploration of establishment of contemporary enterprise system. Due to many factors, such as the lack of perfect system design, the employees whose benefits in the company law have not drawn much attention. Some companies change the contents of labor contracts at will in accordance with their decisions, or evade the labor contract obligations, which they should claim, by abusing the ways of combination; separation, etc.; even use the measures to terminate the contract, like redundancies, causing a lot of employees out of work. Some companies refuse to set up the Labor Union, organize worker congress; the phenomenon of important matters decided by company departments like the board of directors, managers can be found everywhere. Employees’ rights to know, to supervise cannot be insured, not speak of the democratic rights to participate in companies’ management and administration. When employees diverge from companies, while enjoying their rights which mentioned above, the road of protecting their rights is a great hardship. This paper thinks that in order to protect the company employees’ legal rights, the status of company employees should promote to the interest subject in the company law instead of the subject in common labor laws. This paper will take the protection of rights and interests of the employees who are the interest subject in the company law as the argument; cut into three parts to analyze the current situation that the fulfillment of the rights and interests of the employees’ labor contracts is overlooked in companies, the performance of the employees’ democratic rights which was specified by the company law; the implement of the employees’ rights to participate in the company departments, to know, to supervise, etc.; the situation
