业主团体法律制度——从业主团体的角度.doc

摘要 随着我国物业小区的飞速发展，我国目前物业小区管理团体制度的弊端日益显现，成为了物业小区发展的桎梏。而物业小区管理团体弊端产生的症结在于现行法下物业小区缺乏可以代表其从事民事活动的独立主体。有鉴于此，本文列举了当前物业小区存在的问题，剖析了问题产生的根源，引入了业主团体制度重构管理团体制度，以期对我国物业小区的发展有所裨益。本文主要分为三个部分：第一部分通过论证提出了当前物业小区管理团体制度存在的核心问题便是缺乏能代表物业小区的独立民事主体，并列举了因缺乏独立的民事主体资格而衍生出来的问题。第二部分在第一部分的基础上，通过各国立法例的对比研究以及法人理论的发展的追溯，剖析了问题产生的根源在于所借鉴的德国与中国台湾立法中固有的缺陷、借鉴的不完整性以及现行法中法人理论的欠缺。第三部分在前两个部分的基础上，提出应引入业主团体制度重构物业小区管理团体制度，并对业主团体制度的建立提出了相应的立法建议。 关键词: 业主团体 物业小区管理团体 民事主体资格 业主大会 Abstract With the development of condominium in China, problems of the condominium association system becoming exposed is the biggest obstacle of the development for condominium. The source of the problems of the condominium association system is condominium’s lack of an independent legal entity to engage in civil activities on behalf of it under the current laws and regulations. For this reason, this thesis wants to facilitate the development of condominium through listing the problems of the condominium association system, analyzing the source of the problems and introducing the owners’ association. This thesis has 3 parts: part1 indicates that key problem of current condominium association system is the lack of an independent legal entity and lists the other problems corresponding with it; basing on part 1’s analysis, the comparison of laws in some countries and tracing of the development of the legal person theory, part 2 indicates that the source of the problems are the loophole of Germany and Taiwan Region laws are transplanted to China, imperfection in the transplantation and the weakness of the current theory of legal person. Basing on the previous parts, part 3 introduces the owners’ association system to China for reforming the current condominium association system and proposes some legislative advices for China.
