或有债务承诺 西控公司若存在潜在债务不影响重组交割的承诺及履行情况（1）承诺：西控公司承诺在资产交割日前，若由于西控公司对外履行债务或承担相关担保责任，导致第三方向本公司主张以相关目标资产进行清偿，本公司将确保以目标资产以外的现金或资产清偿债务；若由于上述原因导致西控公司无法完成相关目标资产交割，西控公司承诺将及时以现金置换相关目标资产。（2）承诺履行情况：在资产交割日前，不存在第三方向西控公司主张以相相关目标资产进行清偿的情形。 准据法和仲裁条款 本协议的订立、履行和解释适用中华人民共和国法律。 The validity，interpretation and implementation of this Contract shall be governed by the laws of the People’s Republic of China without regard to its rules governing conflict of laws。 Any claims, differences or disputes arising out of or in connection with this Agreement shall be submitted to China International Economic and Trade Arbitration Commission for arbitration which shall be conducted in accordance with the Commission’s arbitration rules in effect at the time of applying for arbitration.
