ABSTRACTInrecentyears,Chinaslistedcompaniesover-investmentbehaviorisverycommon,so the state-controlledholdingmanufacturinglistedcompaniesproperty,whetherthereisover-investmentbehavior?Therefore,thispaperusesthemethodofcombiningtheoreticalanalysisandempiricalanalysisofover-investmentbehaviorofstate-controlledmanufacturinglistingcorporation,inordertoprovidetheoreticalbasisandempiricaldatasupportforthepreventionofstate-controlledmanufacturinglistedcompaniesover-investmentbehavior.Basedontheresearchresultsathomeandabroadwithreferencetoexistingresearch ofover-investment theory,according tothestate-controlledmanufacturinglistedcompanies,putforwardthreeresearchhypotheses.Selectthegeneralmachinerymanufacturingsectorin2008beforethelistingofthe32state-controlledmanufacturinglistedcompaniesassamples,with2009-2011yearsoffinancialdataasthesampledataforempiricalanalysis.Theresultsshowthat:(1)BasedontheRichardson(2006)theexpectedinvestmentmodel,multiplelinearregressionmodelisestablished,thedescriptivestatisticalanalysisbyresidualofregression,thatstate-controlledmanufacturinglistedcompaniesexistsover-investmentbehavior.(2)Thecorrelationanalysisandthestate-controlledmanufacturinglistedcompaniesover-investmentoffreecashflow,asignificantpositivecorrelationbetweenthetwo.Basedonalinearregressionmodel,regressionanalysismodeltofurtherprovetheover-investmentoffreecashflowbehaviorhasasignificantpositiveeffectonstate-controlledmanufacturinglistedcompanies.(3)Throughdescriptivestatisticsonbankdebtanalysisindicatedthepresenceofsoftbudgetconstraintsofstate-controlledmanufacturinglisted companies, then to establish the over-investment as explainedvariable,freecashflowanddebt×freecashflowcrosstermsasexplanatoryvariables,tworegressionmodels,throughregressionanalysisofthemodel,thatcannotbeover-investmentbankdebtduetothefreecashflowplayaroleincorporategovernance.Andthencombinedwiththeconclusionofthestudy,accordingtotheinsiderabuseoffreecashflowofover-investmentbehavior,andputsforwardcorresponding
