论小股东权益保护 [论文摘要]我国旧公司法规定“资本多数决”制度，即股东大会依照多数股份股东的意志做出决议，法律将持有多数股份的股东的意思作为公司的意思，并对所有股东具有约束力。而没有相应地对控股股东的权利进行适当的约束或赋予其对其他股东的诚信义务，也没有赋予小股东以特殊权利，往往导致控股股东对“资本多数决”原则的滥用，而小股东则缺乏特殊的权利和程序进行预防和救济。在公司实践中，小股东权益受到侵害的现象已屡见不鲜。针对这一情况，2005年，我国公司法的修改和完善主要呈现出两大亮点：赋予小股东撤销决议的权利和进行诉讼的权利，从而使保护小股东权益具有可操作性，能够切实保护小股东的权益，使我国公司制的健康发展又向前迈进一步。 [关键词] 小股东 控股股东 股东代表诉讼 Concerning small Stockholders’ equity protection Wang Jingping Abstract: Our old company law quot;capital control most of thequot; system, namely shareholders’ meeting in accordance with the majority shareholder’s will to make decisions, law will holds a majority of shareholders mean as the company’s meaning and to all shareholders binding. In view of this situation, 2005, in our company law of to modify and improve mainly presents two big window: give small shareholders revoke resolutions of the rights and litigation rights, thus protect small Stockholders’ equity operable, can effectively protect small shareholder’s rights and interests, make our country the healthy development of the company and step forward. This paper investigated quot;capital control most of thequot; principle of origin, analysis of the principle of the benefits of big shareholders and the small Stockholders’ equity, and further uncovers the weakening of the big shareholders to small Stockholders’ equity weaken the truth, finally clarify how to protect small Stockholders’ equity and necessity.
