Sale??Purchase?Contract?for?Iron?Ore This Contract (this “Contract”) is made effective as of April 2, 2012. BY AND BETWEEN ########################, of ########################,People’s Republic of China (hereinafter referred to as the Buyer), AND ########################., of ########################, People’s Republic of China (hereinafter referred to as the Buyer’s Agent), AND ########################, ########################, Brazil (hereinafter referred to as the Seller); AND When the context so requires, jointly referred to as the Parties. Seller agrees to sell, and Buyer agrees to buy, the following commodity (hereinafter referred to as the Goods ) in accordance with the terms and conditions of this Contract: 第1条： 商品名目 巴西铁矿粉 CLAUSE 1: COMMODITY Commodity IRON ORE FINES (Brazil) 第2条： 交货数量和时间 装船数量： 每月十二万（120000）湿吨巴西铁矿粉，允许5%增减有卖方选择。 分两船装运，每船60000湿吨。 合作期限： 10年 (120月) 装货港： ----------- 港或任何巴西主要港口。 装货期： 第一船2012年4月2日或以前装运， 第二船在收到第二个信用证三十天内装运。 卸货港： 中国龙口港。 迟装费： 每天每湿吨USD0.01。 CLAUSE 2：DELIVERY QUANTITY AND DELIVERY PERIOD The quantity shall be as follows: IRON ORE FINES: 120, 000 WMT +/-5% per month at seller’ option The delivery shall be consisted of shipments shipped by two vessels each one will be 60,000 WMT (wet metric ton) +/- 5% at sellers option .The first shipment shall be latest on/before February，28,2005,and the second shipment shall be within Thirty (30) days.
