PAGE  PAGE 4 Amendment Ⅰ Lounge Usage Agreement This Amendment I dated November 18, 2008 is an amendment of the China Southern Airlines / Korean Air Lounge Usage Agreement dated 15 November, 2007 (“Agreement”). This Amendment I is effective from August 1, 2008. China Southern and Korean Air hereby agree to amend the Agreement as follows: Section 5 (Payment) of the Agreement is hereby deleted and a new Section 5(Payment) of the Agreement is inserted in lieu thereof. New Section 5(Payment) is set forth in Exhibit I hereto. Exhibit E of the Agreement is hereby deleted and a new Exhibit E of the Agreement is inserted in lieu thereof. PAYMENT The Party operating or subcontracting a Facility (“Provider”) will be entitled to receive from the other Party payment as outlined in Exhibit E for each of the other Party’s Permitted Customers that utilizes such Facilities. The pricing scheme in Exhibit E is firm for three (3) years from August 1st 2008 and shall be reviewed after this three (3) year period. The Parties agree to meet not later than in July 2011 for an effective date of price revision on August 1st 2011. Should the Parties do not agree on the price revision, the current prices indexed to inflation and currency exchange, with such indexes agreed upon by the Parties, for each area will apply effective August 1st 2011 until the Parties find an agreement.
