Agency Agreement This agreement is made on May 21, 2012 between Kavin Intertrade Co., Ltd. (Organizer), with office 159 Soi Issarapharb 4, Issarapharb Road, Klongsarn, Bangkok, 10600, Thailand, with BSE International Group Co., Ltd. with office at 184/21 Forum Tower Rachadaphisek Rd., Hauykwang, Bangkok 10310 THAILAND Terms and conditions for the Sales Agent 1. Agent is hereby appointed by Organizer as the Sales Agent for recruiting exhibitors from China for the 8th edition of Thailand Franchise Business Opportunities 2012 (TFBO) and 6th edition of Thailand Retail, Food Hospitality Services 2012 (TRAFS), to be held on October 25 – 28, 2012 at BITEC, Bangkok, THAILAND. 2. Agent will actively seek and solicit participation from relevant companies and government agencies in China to exhibit in TFBO and TRAFS 2012. 3. Agent will do its best to recruit Chinese companies to exhibit in TFBO and TRAFS 2012. 4. Organizer will charge the Agent a special rate of US$2,000 for a 9 sqm standard booth for 2012 to enable the Agent to market the show in China. However, fee for year 2013 will be discussed after the end of this year show. 5. Agent will pay to Organizer all participation fees on or before September 1, 2012. 6. Agent shall ensure that exhibitors so recruited are a proper registered legal entity in China. Agent shall ensure that exhibitors so recruited do not sublet or share their exhibition space with any third parties without prior approval from Organizer. 7. Agent shall assist Organizer in any disputes on intellectual property rights that involve an exhibitor recruited by Agent. 8. Agent shall ensure a proper standard of presentation of the China participation in the event through the selection of quality exhibitors who fit the profile of event. 9. This appointment shall be effective from the date of signing of this Agreement until the completion of the event.
