PAGE  PAGE 15 [To be affixed with Rs.100/- stamp duty prior to execution] COMMISSION AGENT AGREEMENT This Agreement entered into the [__________] (“Agreement”) By and between MOBIL ASKARI LUBRICANTS LIMITED, a company incorporated under the laws of Pakistan, having its [registered] office at D-46 Block 5, K.D.A Scheme # 5, Clifton, Karachi (hereinafter called Mobil) which expression shall include its successors-in-interest and assigns; AND _____________a Sole Proprietorship / Partnership / Limited Company, having an office at ______________ (hereinafter called Agent) which expression shall include the Agent’s [legal heirs, administrators, executors, representatives] successors-in-interest and assigns;. The parties hereby agree as follows: W I T N E S S E T H: ARTICLE 1  Appointment 1.1 Mobil hereby appoints the Agent as a non-exclusive agent for the sale of certain Mobil-branded products specified in the attached Appendices “A” and “B” (hereinafter called the “Products”) within the area defined in Appendix A (hereinafter called the “Territory”), and the Agent hereby accepts the appointment from the date hereof. The Agent shall only be entitled to describe itself as an “authorized Agent within the Territory” in respect of the Products. However, Mobil reserves the right to appoint one or more additional agents within the Territory at any time in the future should the market demand grow and/or should the Agent fail to meet such market demand alone. ARTICLE 2  Duties of the Agent The Agent shall solicit orders for the Product in the Territory during the term of this Agreement and any renewals thereof. The Agent shall negotiate for orders, to be forwarded to Mobil for acceptance, only at prices and in accordance with the terms, conditions, policies, and instructions specified by Mobil, all of which shall be subject to change at any time by Mobil.
