Noncircumvention and Confidentiality Agreement This Non-circumvention and Confidentiality Agreement (“Agreement”) is made and effective the ___ day of ____________, 2012, by and between Canyon Supply and Logistics, LLC, a Texas limited liability company with its registered office at 5005 Riverway, Suite 250, Houston, Texas 77056 (“Canyon”) and Syslink International, Co whose address is 1300 Post Oak BLV, Suite#770, Houston, TX 77056 (“Recipient”). Canyon and Recipient are each sometimes referred to herein individually as a “Party” or collectively as the “Parties.” WHEREAS, the Parties desire to enter into confidential discussions and negotiations with regard to the possibility of Recipient consulting on, advising on, assisting with, or generally participating in the LNG Project (“Project”) located in Harbor Island, TX, USA and WHEREAS, in order to discuss potential participation, Canyon will need to disclose certain Confidential Information (as defined below) with Recipient; and WHEREAS, Canyon desires that any Confidential Information (as defined below) provided by them or on their behalf to Recipient, or their respective representatives (a Party’s officers, directors, partners, employees, affiliates, professional advisors, assigns, or agents, including without limitation attorneys, accountants and consultants), be kept confidential. NOW THEREFORE, in consideration of the mutual promises and covenants made herein, and with the intent to be legally bound hereby, the Parties agree as follows: 1. Noncircumvention The Parties intending to be legally bound, hereby irrevocably agree, and guarantee each other they shall not, directly or indirectly, interfere with, circumvent or attempt to circumvent, avoid, by-pass, or obviate each others interest, or the interest or relationship between the Parties with producers, sellers, buyers, brokers, dealers, distributors, financial institutions, technology owners, developers or manufacturers, to change, increase or avoid direct
