Parties

ThisAgreement(Agreement)ismadeandenteredintoasof[InsertDate],byandbetween[InsertFullLegalNameandAddressofPartyA](PartyA),a[CompanyType,e.g.,corporation,LLC]organizedandexistingunderthelawsof[CountryofIncorporationforPartyA],withitsprincipalplaceofbusinessat[InsertAddressofPartyA],and[InsertFullLegalNameandAddressofPartyB](PartyB),a[CompanyType,e.g.,corporation,individual]organizedandexistingunderthelawsof[CountryofIncorporationforPartyB],withitsprincipalplaceofbusinessat[InsertAddressofPartyB](theParties).

Recitals

WHEREAS,PartyAdesirestoengagein[Brieflydescribethenatureofthebusinessrelationship,e.g.,thesaleofgoods,theprovisionofservices]withPartyB;and

WHEREAS,PartyBdesirestoengagein[BrieflydescribethenatureofthebusinessrelationshipfromPartyBsperspective]withPartyA;

NOW,THEREFORE,inconsiderationofthemutualcovenantsandagreementshereincontained,thePartiesagreeasfollows:

1.DefinitionsandInterpretation

InthisAgreement,unlessthecontextotherwiserequires:

1.1AgreementmeansthisentireAgreement,includingallexhibits,attachments,andamendmentstheretothatareincorporatedbyreference.

1.2EffectiveDatemeansthedatefirstsetforthabove.

1.3PartymeanseitherPartyAorPartyB,asapplicable.

1.4CounterpartymeanstheotherPartytothisAgreement,asapplicable.

1.5Territorymeans[Definethegeographicalareainvolvedinthecontract].

1.6GoverningLawmeansthelawsoftheRepublicofGuyanaapplicabletothisAgreementwithoutregardtoitsconflictoflawprinciples.
