Inconnectionwithourconsiderationofatransaction(the“Transaction”)withBeijingcavopublic
relationsconsultantsCo.,Ltd.(“CAVO”),wemayrequestcertaininformationregardingCAVO(such
information,whetherwrittenororalandwhetherpreparedbyoronbehalfofCAVO,togetherwith
anyanalyses,compilations,forecasts,studiesandotherdocumentsorrecordspreparedbyusor
ourRepresentatives(asdefinedbelow)thatcontain,arebasedon,orotherwisereflectorare
generatedfromsuchinformationarecollectivelyreferredtointhisletteragreementasthe“Material”)
fromCAVO.
鉴于我方考虑与卡沃顾问（以下简称“卡沃”）进行一项（以下简称“”），我
方会向卡沃要求与卡沃有关的相关信息（该等信息（无论或口头以及无论是由卡沃准备或以
卡沃的名义准备），以及其他包含该等信息、以该等信息为基础、或以其他方式反映该等信息、或因
该等信息的由我方或我方代表（定义见下文）准备的任何分析、汇编、预测、研究和其他文件或
记录，在本协议函中均统称为“资料”）。
WeherebyagreethattheMaterialwillbeusedsolelyforthepurposeofmakingtheprojectof
conferenceregistrationsystem(“minisite”)forIHGwhichisthethirdclientofCAVOandthatsuch
informationwillbekeptbyusandourRepresentativesunsweorourRepresentatives
becomelegallycompelledtodisclosesuchinformation.WemaydisclosetheMaterialorportions
thereoftothoseofourdirectors,officers,employees,affiliatesandrepresentatives(including,
withoutlimitation,financialadvisors,attorneysandaccountants)(collectively,the“Representatives”)
whoneedtoknowsuchinformationforthepurposeofmakingtheprojectofminisite(itbeing
understoodthatsuchRepresentative
