ThisContractAgreement(theAgreement)ismadeandenteredintoasof[Date],byandbetween[FullLegalNameofParty1],a[LegalEntityType](Party1),and[FullLegalNameofParty2],a[LegalEntityType](Party2),collectivelyreferredtoastheParties).

RECITALS

WHEREAS,Party1isengagedinthe[NatureofBusiness/Activity]anddesirestoenterintoanagreementwithParty2fortheprovisionof[SpecificServices/Products];

WHEREAS,Party2iswillingtoprovidetheaforementionedservices/productstoParty1underthetermsandconditionssetforthherein;

NOW,THEREFORE,inconsiderationofthemutualcovenantsandagreementscontainedherein,thePartiesagreeasfollows:

1.ScopeofServices/Products

1.1Party1herebyengagesParty2toprovide[SpecificServices/Products]asdescribedintheattachedScheduleA(theServices/Products).

1.2TheServices/Productsshallbeperformedinaccordancewiththespecifications,qualitystandards,andtimelinessetforthinScheduleA.

1.3Party2shallusereasonableeffortstoensurethattheServices/ProductsmeettherequirementsandexpectationsofParty1.

2.TermandTermination

2.1ThetermofthisAgreementshallcommenceon[StartDate]andshallcontinueforaperiodof[Duration]unlessterminatedearlierinaccordancewiththeprovisionsofthisAgreement.

2.2EitherPartymayterminatethisAgreementupon[NoticePeriod]writtennoticetotheotherPartyiftheotherPartybreachesanymaterialtermorconditionofthisAgreementandfailstocuresuchbreachwithin[CurePeriod]afterreceiptofwrittennotice.

2.3UponterminationofthisAgreement,Party2shallpromptlydeliveralldeliverablesandprovideallservicesdueunderthisAgreementuptothedateoftermination.

3.FeesandPayment

3.1Party1shallpayParty2afeeof[Amount]fortheprovisionoftheServices/Products(theFees).

3.2TheFeesshallbepaidinaccordancewiththepaymentschedulesetforthinScheduleB.
