1.SupersedesArticle29oftheABBIncGeneralTermsandConditionsofSale(2024-02U.S.--ELSE):

a.ThisArticle29appliesonlyiftheAgreementisforthedirectorindirectsaletoanyagencyoftheU.S.

governmentand/orisfundedinwholeorinpartbyanyagencyoftheU.S.government.

b.PurchaseragreesthatallEquipmentandServicesprovidedbyABBmeetthedefinitionof“commer-

cial-off-the-shelf”(“COTS”)or“commercialitem”asthosetermsaredefinedinFederalAcquisition

Regulation(“FAR”)2.101.Purchaseragrees,consistentwithFAR12.212,thatcommercialcomputer

softwareandcommercialcomputersoftwaredocumentationarelicensedunderABB’sSoftwareLi-

cense.TotheextenttheBuyAmerica(n)Act,TradeAgreementsAct,orotherdomesticpreference

requirementsareapplicabletothisAgreement,thecountryoforiginofEquipmentisunknownunless

otherwisespecificallystatedbyABBinthisAgreement.PurchaseragreesanyServicesofferedbyABB

areexemptfromtheServiceContractActof1965(FAR52.222-41).TheversionofanyapplicableFAR

clauselistedinthisArticle28shallbetheoneineffectontheeffectivedateofthisAgreement.

c.IfPurchaserisanagencyoftheU.S.Government,thenaspermittedbyFAR12.302,Purchaseragrees

thatallparagraphsofFAR52.212-4(exceptthoselistedin12.302(b))arereplacedwiththeseTerms

andConditions.PurchaserfurtheragreesthesubparagraphsofFAR52.212-5applyonlytotheextent

applicableforsaleofCOTSand/orcommercialitemsandasappropriatefortheAgreementprice
