EXPORTSALESCONTRACT

ThisExportSalesContractismadebyandbetweenABCCompany,acorporationorganizedandexistingunderthelawsofCountryA,whoselegaladdressisat123ABCStreet,CountryA(hereinafterreferredtoastheSeller),andDEFCompany,acorporationorganizedandexistingunderthelawsofCountryB,whoselegaladdressisat456DEFRoad,CountryB(hereinafterreferredtoastheBuyer).

TheSelleragreestosellandtheBuyeragreestopurchasethefollowingcommodity:(Descriptionofthecommodity,includingquantity,quality,specifications,etc.)

1.TERMSOFDELIVERY

ThedeliveryofthecommodityshallbemadeFOB(FreeOnBoard),PortX,CountryA.TheBuyershallarrangefortransportationfromPortXtothedestinationportatitsownexpense.

2.PRICEANDTERMSOFPAYMENT

Thepriceofthecommodityis(Amountincurrency)tobepaidbytheBuyertotheSellerinfullbeforethedeliveryofthecommodity.ThepaymentshallbemadebywiretransfertotheSellersdesignatedbankaccount.

3.PACKINGANDMARKING

Thecommodityshallbepackedin(Descriptionofpackingandmarking).AllexpensesincurredinpackingandmarkingshallbebornebytheSeller.

4.INSURANCE

TheSellershallapplyforinsurancecoverageforthecommoditywithaninsurerapprovedbytheBuyeratitsownexpense.Thetypeandscopeoftheinsurancecoverageshallbeagreeduponbybothparties.

5.CLAIMSANDDAMAGES

Intheeventthatanyclaimordamagearisesfrombreachofcontractbyeitherparty,theaggrievedpartyshallnotifytheotherpartyinwritingwithinareasonabletimeafterdiscoveryoftheclaimordamage.Allclaimsordamagesshallbesettledthroughfriendlyconsultationbetweenthetwoparties.Ifnoagreementcanbereached,eitherpartymayseeklegalremediesinaccordancewiththelaw.

6.FORCEMAJEURE

Neitherpartyshallbeheldresponsibleforanyfailuretope
