NOW,THEREFORE,inconsiderationofthemutualcovenantsandagreementshereincontained,thepartiesheretoagreeasfollows:

1.DEFINITIONS:

1.1Goodsshallmeantheproductsand/orservicesdescribedintheattachedScheduleAhereto.

1.2PurchaseOrdershallmeanthewrittenorderissuedtheBuyertotheSupplierforthepurchaseoftheGoods.

1.3DeliveryDateshallmeanthedatespecifiedinthePurchaseOrderwhichtheGoodsaretobedeliveredtotheBuyer.

1.4InvoiceshallmeanthedocumentissuedtheSuppliertotheBuyerforpaymentoftheGoods.

2.PURCHASEOFGOODS:

2.1TheBuyeragreestopurchasefromtheSupplier,andtheSupplieragreestoselltotheBuyer,theGoodsasdescribedinthePurchaseOrder.

2.2TheSuppliershalldelivertheGoodstotheBuyerattheaddressspecifiedinthePurchaseOrderonorbeforetheDeliveryDate.

2.3TheSuppliershallensurethattheGoodsareofgoodquality,freefromdefects,andconformtothespecificationsandstandardssetforthinthePurchaseOrder.

3.PRICEANDPAYMENT:

3.1ThepricefortheGoodsshallbeasspecifiedinthePurchaseOrder.

3.2TheBuyershallpaytheSupplierthepurchasepricefortheGoodswithin[Number]daysfromthedateofreceiptoftheInvoice.

3.3TheSuppliershallissueanInvoicetotheBuyerforeachshipmentofGoods.

4.WARRANTIES:

4.1TheSupplierwarrantsthattheGoodsshallbefreefromdefectsinmaterialsandworkmanshipforaperiodof[Number]monthsfromthedateofdelivery.
