Thesubjectmatterofcontractlawcomprisescapacity,formalities,

offerandacceptance,consideration,fraudandmistake,legality,

interpretationandconstruction,performanceandconditionsof

performance,frustrationandimpossibility,discharge,rightsof

assigneesandthirdpartybeneficiaries,andremedies.Ithas,toavery

considerableextent,preserveditsunitaryquality,resistingfundamental

distinctionsbetweendifferentclassesofcontractsaccordingtoeither

thesubjectoftheagreementorthenatureoftheparties.

Accordingly,withsomeexceptions,itsprinciplesareapplicableto

agreementsonsuchvariedsubjectsasemployment,saleofgoodsorland,

andinsurance,andtosuchdiversepartiesasindividuals,business

organizations,andgovernmentalentities.
