LoanAgreement

ThisLoanAgreement(theAgreement)isenteredintoon[Date],between[Lender],acompanyorganizedandexistingunderthelawsof[Country],withitsprincipalplaceofbusinessat[Address](theLender),and[Borrower],acompanyorganizedandexistingunderthelawsof[Country],withitsprincipalplaceofbusinessat[Address](theBorrower).

1.LoanAmount.TheLenderagreestoloantotheBorrowertheprincipalsumof[LoanAmount]([Amountinwords])(theLoan).

2.InterestRate.TheLoanshallbearinterestattherateof[InterestRate]perannum,calculatedontheoutstandingprincipalbalanceoftheLoanfromthedateofdisbursementuntilrepaymentinfull.

3.Repayment.TheBorrowershallrepaytheLoanin[NumberofInstallments]equalmonthlyinstallmentsof[Amount]each,commencingon[Date]andcontinuingonthesamedayofeachmonththereafteruntiltheLoanisrepaidinfull.

4.Prepayment.TheBorrowershallhavetherighttoprepaytheLoan,inwholeorinpart,atanytimewithoutpenalty.

5.Default.IftheBorrowerfailstomakeanypaymentwhendueunderthisAgreement,theLendermaydeclaretheLoanimmediatelydueandpayable,andtheBorrowershallpayalatefeeof[LateFee]foreachdaythepaymentremainsoutstanding.

6.GoverningLaw.ThisAgreementshallbegovernedbyandconstruedinaccordancewiththelawsof[Country].

7.EntireAgreement.ThisAgreementconstitutestheentireagreementbetweenthepartieswithrespecttothesubjectmatterhereofandsupersedesallprioragreementsandunderstandings,whetheroralorwritten.
