中国跨国并购研究以吉利收购沃尔沃为例 .docVIP

济南大学学年论文 1 - 摘 要 随着经济全球化，各国的经济联系日益紧密，相互依存，全球经济逐渐成为一个整体。但是同时, 世界市场竞争者越来越多, 在面临着巨大生存压力及挑战下, 我国企业往往通过跨国并购的规模扩张方式来进行对外直接投资, 从而使得资源优化合理配置, 大幅度地提高企业在国际竞争市场的地位及为企业带来更多的经济利益。近年来，全球企业并购保持规模不断扩大的总体态势。中国企业海外并购规模也在稳定增长，2016 年第一季度，中国已成为全球企业海外并购规模最大的国家。中国企业海外并购资金的区域流向越来越以欧美发达国家为重点; 产业流向也越来越向以电子、机械、金融服务为主的方向发展。区域与产业的资金流向变化，体现出中国企业海外并购新战略: 在全球产业结构调整过程中，中国企业以获得先进技术或占领高端消费市场为宗旨，更加重视向全球产业链的高端发展。但由于中国跨国企业形成时间相对较短、总体竞争实力不强，使其规避海外国家风险的能力较弱，需要重视海外并购国家风险的量化评估、加快建立海外并购资产权益保护机制，以支持中国企业海外并购的不断发展。 本文介绍跨国并购的相关理论基础以及动因。在分析了中国跨国并购的发展历程的基础上，分析了中国跨国并购的现状，特点以及动因。最后探寻了并购过程中存在的问题并提出了建议。 关键词：中国企业　跨国并购 吉利　沃尔沃 ABSTRACT In this paper With the economic globalization, the economic ties between countries are becoming increasingly close and interdependent, and the global economy is gradually becoming a whole. But at the same time, there are more and more competitors in the world market.
