北方交通大学硕士学位论文摘 北方交通大学硕士学位论文 摘 要 r‘7丸S5 L近年来，我国企业兼并大量出现，这种资本运营的方式为企业 的资本重组、提高经济效益、重新获得生机提供了广阔的空间。但 是，在企业兼并的实际操作中，也出现了一些问题，严重地制约着 企业兼并的健康发展和企业经营效率的提高。而国有企业的产权问 题则在很大程度上成为这些问题出现的根源。 目前我国经济学界对企业兼并的研究成果中，从产权的角度去 探讨中国企业兼并问题的论述并不多见。本文欲以产权的观点去分 析一下国有企业在兼并当中的决策问题，并建立相关的数学模型， 试图从产权的角度探究国有企业兼并决策问题出现的原因，并以此 为基础提出一定的政策建议。文 本文首先将向读者介绍现代产权经济学的理论，和西方对于企 业兼并动机的规范研究的成果，力图使读者对企业兼并中经营效率 的提高有明确的了解，并对以产权的观点去分析企业的运行情况的 必要性有一定的认识。 其次，本文将介绍中外企业兼并的情况，并努力探究这些兼并 的合理性及问题，由于篇幅所限，本文将以较大笔墨叙述国有企业 在兼并决策中的问题。 再次，本文将对国有企业中有代表性的产权问题对兼并决策的 影响加以分析，通过数学模型和严格的公式推导，国企产权问题对 企业兼并决策的影响将一目了然。 最后，本文将针对国企的产权问题提出相应的政策建议。 关键词：国企兼并产权l abstractAbstract abstract Abstract Recently,there arose many cases of annex，this way of the capital motion gives a broad stage for enterprises to enhance there economic efficiency and tO gain the vitality in the market again．HoweveL during the execution of some cases，problems arose that seriously hindered the development of the annex，even had some affects on the operation of enterprises．Most of these problems stems from the property rights in those state·owned enterprises． At present，in all the fruit of researching in the annex，there seldom are any that pay much attention to the property rights problems or their possible affection on the efficiency of enterprises．In this paper,the problem of decision in the process of annex would be analyzed using the theories of property right，and the related model would be established．The aim is tO find the source of the problems arose while annex decision being executed．furthellTtore，some policy advice would be raised． First，the modem property right theories would be introduced to readers as well as the fruit ofwestem research in the motivation ofannex． After reading this part，readers would see how the enterprises benefit from annex，and why it is necessary to analyze the process of all enterprise via the orientation ofproperty right． Second，the situation domestic and abroad would be exhibited， furthermore，problems in china would occupy the most lengt
