I I 摘 要 随着我国资产证券化业务试点的不断推进，涉及该领域的课题逐渐成为学术 界研究的重点。鉴于国内实行分业监管体制，审批机构的不同便预示着证券化产 品设计方面必将存在差异，在信息披露制度日趋完善的背景下，产品设计方法逐 步浮出水面。 本文通过对“中国进出口银行 CLO 项目”以及“隧道股份 BOT 专项资产管 理计划”两个案例分析展开对国内资产证券化业务中产品设计方面的分析研究。 文章分为六个部分：第一章为研究背景和动机分析；第二章对中外文献进行回顾； 第三章介绍了国内资产证券化产品分类及理论基础。第四章通过对中国进出口银 行案例的分析，研究国内信贷资产证券化产品设计方法。第五章通过对隧道股份 BOT 案例的分析，研究国内企业资产证券化产品设计方法。第六章提出研究结 论，并提出相应研究建议以及本文的尚需改进的不足之处。 关键词：资产证券化，现金流分析，风险隔离，信用增进 II II Abstract As securitization is developing further and further, the issues related to the field gradually become the focus of academic research. In view of the separate supervision, there are differences in design of products regulated by different authorities. With information disclosure system maturing, methods of design gradually could be known. Based on the cases of “CLO project of the Export-Import Bank of China” and “The asset management plan of the BOT project of the Tunnel Engineering Co., Ltd”, this paper makes the research of the design in securitization. The paper is divided into six parts: the first chapter is the analysis for the research background and motivation. The second chapter reviews the literatures about tunneling in China and abroad. The third chapter introduces the background and theory of securitization design in China. The fourth chapter makes the analysis of design of Collateralized Loan Obligation based on the case of “the Export-Import Bank of China”. The fifth chapter makes the analysis of Asset-backed Securitization?s design through doing research of “the Tunnel Engineering Co., Ltd”. The sixth chapter puts forward the research conclusion, the corresponding suggestions and the paper?s shortcomings which need to improve lately.
