i i 摘要 为了克服中小股东与公司信息不对称的状态，许多国家都赋予了股东查阅公司相 关文件的权利，以便了解公司的经营情况。股东了解公司的经营状况后，可以在股东 大会上做出正确的决策或者在选任董事时有选择性地进行投票。股东查阅权不仅有利 于中小股东对公司进行监督，而且有利于实现他们自身的一些权利，因此股东查阅权 是股东维护自身权益的一大法宝。但是，这种权利又可能会被一些股东滥用而损害公 司的利益。所以，在赋予股东查阅权的同时，又必须对这项权利的行使给予适当的限 制。我国现行的《公司法》明确了股东查阅权制度，相比 1993 年的《公司法》有了 很大的进步，但与发达国家相比仍有一定的差距，需要在很多方面作进一步的完善： 扩大股东查阅对象的范围；赋予股份有限公司股东会计账簿查阅权；明确股东查阅权 的行使程序；完善正当目的的规定；完善股东查阅权的诉讼程序等。 关键词：股东查阅权 正当目的 司法救济 行使程序 ii ii Abstract In order to overcome shareholders with their companies be in aserious state of information asymmetry, thus many countries give rights to these shareholders to inspect all documents and records related (namely shareholders’inspection rights) to understand operations in the company. The shareholders can make the right decision in choosing the director has selectively vote in general meeting .thus shareholders’inspection rights is to safeguard their rights and interests of shareholders of a great asset . However, This kind of right and may be some shareholders abusing and harm the interests of the company . So, after giving the shareholder rights at the same time, they have to the exercise of rights to the appropriate restriction. The current“CompanyLaw”in our country clearly established the system of shareholders’consulting right . Compared with the 1993 law has made great progress .
