THEBORDERBETWEENCOMPULSORYNORMSANDRANDOMNORMSINCOMPANYLAWABSTRACTThegameofautonomyandregulationistheconstantthemeofthe companylaw,especiallyinthemoderncompanylaw.Corporateautonomy istheessentialattributeofthecompany,whichisbeyonddoubt.National regulationistheprotectionmechanismtorealize corporate autonomy.What isthelegitimatebasisforstateregulationofcorporateautonomy?Whereis theborderofthenationalregulation?Howistheboundaryofrandomlegal normsandcompulsorylegalnormsdefined?Clarificationoftheseissuesis ofgreatsignificanceforthecurrentcompanylawpracticeandthefuture companylawrevision.Thecompanylaw2005,furtherweakeningnational regulation,strengtheningautonomyofcompany,stillhaslotsofdefects.
