A counteroffer is virtually a partial rejection of the original offer and also a counter proposal initiated by the buyer or the offeree. The buyer may show disagreement to the price, or packing, or shipment and state his own terms instead. Such alterations, no matter how slight they may appear to be, signify that business has to be negotiated on the renewed basis. The original offerer or the seller now becomes the offeree and he has the full right of acceptance or refusal. In the latter case, he may make another counter offer of his own. This process can go on for many a round till business is finalized or called off. In making a counter offer, one has to state the terms most explicitly and use words very carefully so as to avoid ambiguity or misunderstanding, the same way as one usually does in making an offer.

The buyer’s partial rejection of the original offer

Disagreement of the price, packing, shipment or anything that does not satisfy your needs

A: I can’t deny what you’ve said. But your price is too high. It’s hard for me to accept your price.
B: Okay, I can consider making some concessions .
A: I should say a reduction of at least 15% would help.
B: Sorry, that’s out of the question . We are able to bring down our price at most by 5%.
A: 5%? It’s still a high price.
B: Mr. Black, haven’t you noticed that the cost of product has risen a great
