本 科 毕 业 设 计（论文） 题目 管理层收购中的财务问题 院（系部） 经管系 专业名称 财务管理 年级班级 09财管专升本02班 学生姓名 指导教师 2011年 6 月 12 日 — PAGE \* MERGEFORMAT 2— —PAGE 1— 河南理工大学2011届本科生毕业论文（设计） 2011届本科生毕业论文（设计） PAGE \* MERGEFORMAT II PAGE \* MERGEFORMAT II 摘 要 管理层收购(Management Buy-Outs，简称MBO)发端于欧美市场经济国家，20世纪90年代MBO传入我国并借势国有企业产权制度的改革和国有股减持的大潮而日益升温，但是随着MBO的推行，其在实施过程中暴露出来的问题也越来越多，经过仔细分析发现，这些问题大都与财务相关。 本文在借鉴和分析国内外管理层收购的理论基础上，针对我国管理层收购实施中存在的实际财务问题，进行观点阐述和案例分析，并据以提出了一些建议。 最后得出结论：MBO在我国是一种制度创新，无论在理论界还是在实践中都尚处于起步阶段，相关市场环境、法律环境还很不完善，我们应当结合国情从理论和实践方面进行更进一步的研究以形成有效的市场环境和有效的MBO运作机制，真正达到我国引进MBO的目的，保证国企改革走上健康之路。 关键词：管理层收购 财务问题 国企改革 ABSTRACT Management buyout(MBO) had its beginning in western market economy countries for more than twenty years．Since its introduction in 1990s，MBO has been paid more and more attention due to the reform of state—owned enterprises in China．With the implement of MBO，which exposed in the implementation process more and more problems.Through the careful analysis ，and most of these are related to finance． This dissertation focuses on the major financial problems in domestic MBO process，and then analyses a successful example and a disputable examples in Our country．After that this dissertation tables several suggestions which are related to financial problems． In conclusion：MBO is a system of innovation in our country，both in theory and in practice circles are still at the initial stage，the relevant market environment，legal environment is far from perfect．We should combine theory and practice conditions for further studies to form Efficient and effective MBO market operation mechanism, thereby achieving the purpose of the introduction of MBO，to ensure the healthy road of reform of state–owned enterprises． Key Words：Management Buy—Outs Financial Problems Reform of State-Owned Enterprises 2011届本科生毕业论文（设计） PAGE \* MERGEFORMAT i 目 录 TOC \o 1-3 \h \z \u \t 标题 4,1,标题 5,2 HYPERLINK \l _Toc2954
