(Incorporated in the Cayman Islands with limited liability) (Stock Code: 8117) 2 April 20 12 To the shareholders Dear Sir or Madam, REPLACEMENT OF THE FORM OF PROXY FOR THE ANNUAL GENERAL MEETING Reference is made to the notice of the annual general meeting as stated in the circular of China Primary Resources Holdings Limited (the “Company”) and the form of proxy (the “Original Proxy Form”) for use at the said meeting which were despatched to the shareholders on 28 March 20 12. According to the Original Proxy Form, the shareholders are given the option to “abstain” from voting. However, the Original Proxy Form does not indicate whether or not the shares abstained will be counted in the calculation of the required maj ority. The Company has enclosed a revised form of proxy, which indicated that the shares abstained will not be counted in the calculation of the required maj ority, for you to indicate your voting preference at the forthcoming annual general meeting of the Company.
