中美家族企业治理结构比较分析 摘 要 在中国家族企业发展壮大的过程中，家族式的经营管理模式曾经立下了汗马 功劳，然而随着经济的发展，家族制已经越来越多的在制约着家族企业的发展。 在经历了高速发展的原始积累期后，规模越来越大，其发展的速度却越来越慢， 倒闭退出市场的企业更是不胜枚举。由于发展历史十分短暂，中国家族式企业的 规模和发展程度都不及发达国家。因此，家族企业管理机制的转变势在必行。本 文以公司治理理论为基础，通过对比中美家族企业治理结构的问题和现状分析， 综合成功企业的经验教训分析得出中国家族企业在发展壮大进入成熟阶段后必 须从家族式的治理结构向职业化治理过渡的结论。 关键词：家族企业, 公司治理, 中美比较 I Abstract In the process of the Chinese family enterprises’ development, the model of family management has made tremendous contributions, however, with the development of the economics, family business was restricted by the family system. After the rapid development of primitive accumulation, we have found that the bigger the family enterprises’ size the slower the pace of development, and those failure to withdraw from the market are too numerous to list. Because of the short history of develop, regardless of the Chinese family firms’ scale or degrees can’t matched for the developed country. Therefore, it is essential to change the family enterprises management system. The paper is based on the corporate government theory, compared the difference of enterprises management structure between Chinese and American family firms, integrated lessons of successful enterprises, derived that when Chinese family enterprises growth into mature phase must start considering making up the professional governance to replace the family governance.
